Terms of Use
The terms that apply to accessing and using the Murmee digital magazine.

The MURMEE digital magazine (the “Magazine”) is published by MR AND MRS MEDIA, a limited liability company with share capital of 1,500 euros, registered with the Paris Trade and Companies Register under number 509 361 465, whose registered office is located at 17 rue du Colisée – 75008 Paris (hereinafter “MR AND MRS MEDIA”).
These Terms of Use (the “Terms”) are intended to define the conditions under which Users may access and use the Magazine.
ANY USE OF THE MAGAZINE, FOR ANY PURPOSE WHATSOEVER, NECESSARILY IMPLIES THE USER’S FULL AND UNRESERVED ACCEPTANCE OF THESE TERMS OF USE.
The terms used below have the following meaning in these Terms of Use:
“Advertisers”: means the professionals whose establishments, brands or services are presented within the Magazine in the form of advertisements.
“Channel”: means the digital medium through which MR AND MRS MEDIA distributes the Magazine to Users, namely WhatsApp.
“Club”: means the WhatsApp community that the User joins by scanning the QR Code, within which the User receives the Magazine and other thematic content from MR AND MRS MEDIA.
“Terms of Use” or “Terms”: means these Terms of Use governing membership of the Club and use of the Magazine by Users.
“Content”: means all editorial and advertising elements distributed by MR AND MRS MEDIA to members of the Club via the Channel, including the Magazine, texts, photographs, videos, hyperlinks and CTA buttons (“Click to action / Call to action”).
“CTA” (“Click to action / Call to action”): means the clickable call-to-action buttons integrated into the Magazine, such as “Discover, Buy, Get there, Book, Make an appointment, Contact, Order, Catalogue”, enabling the User to be redirected to the Advertisers’ websites or establishments.
“Magazine”: means the digital publication edited by MR AND MRS MEDIA and distributed to members of the Club via the Channel, whose content is dedicated to the theme and geographical area of the relevant Club.
“MR AND MRS MEDIA”: means MR AND MRS MEDIA, publisher of the Magazine.
“User” or “You”: means any natural person who asks to receive the Magazine via the Channel.
Joining the Club implies full acceptance of these Terms.
Accordingly, the User undertakes to read these Terms carefully before joining the Club and is invited to download, print and keep a copy.
It is specified that these Terms are accessible at the bottom of the Magazine via a link and may therefore be consulted at any time.
The applicable version is the version in force on the date on which the User joins the Club.
Each User is therefore required to refer to the version of the Terms available online on the date of joining and using the Magazine.
The User is expressly informed that the only binding version of the Terms is the version accessible online, which the User acknowledges and accepts without restriction, undertaking to refer to it each time the Magazine is received.
Access to the Magazine is free for every User. To receive the Magazine, the User must:
- Scan a QR code or click a link distributed through MR AND MRS MEDIA’s communication media, including social networks, online advertisements or physical media promoting the Magazine;
- Be redirected to a WhatsApp conversation through which the User expresses the wish to receive the Magazine by sending a message.
By completing this process, the User joins the Club corresponding to the chosen theme and geographical area, and agrees to receive the Magazine as well as any other content sent by MR AND MRS MEDIA in connection with that Club.
The Magazine is a digital publication edited by MR AND MRS MEDIA and distributed free of charge to Users via the Channel. It consists of editorial and advertising content relating to the best addresses in the geographical area or theme corresponding to the Club joined by the User.
The Magazine includes in particular:
- Editorial content presenting the Advertisers’ establishments and brands;
- Hyperlinks and CTA buttons enabling the User to be redirected to the Advertisers’ websites or services;
- Where applicable, content enabling the purchase or booking of products or services from Advertisers through their respective websites.
MR AND MRS MEDIA reserves the right to modify the content, presentation and structure of the Magazine at any time without notice, subject to the Advertisers’ intellectual property rights over their Advertising Content.
In addition to the Magazine, members of the Club may receive other content from MR AND MRS MEDIA related to the theme of the Club joined, such as news, events or exclusive offers. MR AND MRS MEDIA reserves the right to change the nature and frequency of such content at any time.
MR AND MRS MEDIA publishes and distributes the Magazine to Users at a variable frequency, which may be monthly, seasonal or otherwise, depending on editorial constraints and distribution media. MR AND MRS MEDIA reserves the right to modify this frequency at any time without notice.
The Magazine is written in French and English. In the event of any discrepancy between the two language versions, the French version shall prevail.
Users’ obligations
When receiving and using the Magazine, each User undertakes not to breach public order, to comply with applicable laws and regulations, to respect third-party rights and to comply with these Terms.
Each User is required to:
- Act fairly towards MR AND MRS MEDIA and third parties;
- Use the Magazine in accordance with its purpose as described in these Terms;
- Not divert the purpose of the Magazine in order to commit crimes, offences or infringements punishable under the French Criminal Code or any other law;
- Respect the intellectual property rights of MR AND MRS MEDIA in the Magazine and its Content, as well as the intellectual property rights of Advertisers;
- Not reproduce, modify or distribute the Magazine Content without the prior express authorization of MR & MRS MEDIA;
- Not attempt to interfere, within the meaning of Articles 323-1 et seq. of the French Criminal Code, with the automated data processing systems implemented by MR AND MRS MEDIA;
- Not use the Channel to send unsolicited messages on a mass basis, whether advertising or otherwise;
- Not disseminate data that has the effect of reducing, disorganizing, slowing down or interrupting the normal operation of the distribution Channel;
- Be honest and sincere in the information provided to MR AND MRS MEDIA, particularly when exercising rights.
MR AND MRS MEDIA’s obligations
MR AND MRS MEDIA’s general obligation is an obligation of means. MR AND MRS MEDIA is not subject to any obligation of result or any reinforced obligation of means of any kind.
MR AND MRS MEDIA undertakes to use all reasonable means to ensure the distribution of the Magazine to Users via the Channel.
MR AND MRS MEDIA nevertheless draws Users’ attention to the fact that current communication protocols via the Internet and WhatsApp do not make it possible to ensure the certain and continuous transmission of electronic messages, and that service availability may depend on factors beyond its control, including WhatsApp’s policies and terms of use.
MR AND MRS MEDIA disclaims all liability in particular:
- In the event of temporary impossibility to distribute the Magazine due to technical maintenance operations or Content updates. Users acknowledge that MR AND MRS MEDIA may not be held liable for malfunctions or interruptions affecting transmission networks or the WhatsApp platform;
- In the event of viral attacks or unlawful intrusion into an automated data processing system;
- In the event of abnormal use or unlawful exploitation of the Magazine by a User or a third party;
- With respect to the content of third-party websites to which the hyperlinks and CTA buttons in the Magazine refer;
- In the event of non-compliance with these Terms attributable to Users;
- In the event of delay or non-performance of its obligations where the cause is related to a force majeure event within the meaning of ARTICLE 7 of these Terms;
- In the event of changes to WhatsApp’s policies and terms of use or those of any other third-party platform affecting distribution of the Magazine;
- In the event of any external cause not attributable to MR AND MRS MEDIA.
In the event of abnormal use or unlawful exploitation of the Magazine, the User is solely liable for damage caused to third parties and for the consequences of any claims or actions that may result.
The User is also informed of the risks inherent in using the Internet and WhatsApp, particularly in terms of lack of security in data transmission and non-guaranteed continuity in receiving the Magazine. Under no circumstances may MR AND MRS MEDIA be held liable for these risks or their consequences for the User.
MR AND MRS MEDIA may not be held liable if the non-performance or delay in the performance of any of its obligations described in these Terms results from a force majeure event.
The Parties expressly consider that force majeure exists when an event beyond the debtor’s control, which could not reasonably have been foreseen when the Terms were accepted and whose effects cannot be avoided by appropriate measures, prevents the debtor from performing its obligation.
A force majeure event suspends MR AND MRS MEDIA’s obligations for as long as the force majeure event applies if the event is temporary. MR AND MRS MEDIA will endeavour to minimize its consequences for Users as far as possible.
Failing this, if the impediment is permanent, the Parties will be released from their obligations under the conditions provided for in Articles 1351 and 1351-1 of the French Civil Code.
If such an event occurs, MR AND MRS MEDIA will endeavour to inform Users as soon as possible via the Channel.
The User acknowledges the intellectual property rights of MR AND MRS MEDIA and/or the Advertisers in the Magazine, its components and the related editorial Content, and waives any right to challenge those rights in any form whatsoever.
The trademarks, logos, slogans, graphics, photographs, animations, videos, texts and any other editorial content of the Magazine are the exclusive intellectual property of MR AND MRS MEDIA and may not be reproduced, used or represented without the express written authorization of MR AND MRS MEDIA, under penalty of legal proceedings.
Any reproduction, distribution or representation, in whole or in part, of the Magazine and its editorial content, by any process whatsoever, without the prior express authorization of MR AND MRS MEDIA, is prohibited and will constitute an infringement punishable under Articles L.335-2 et seq. and Articles L.713-1 et seq. of the French Intellectual Property Code.
In particular, MR AND MRS MEDIA expressly prohibits:
- The extraction, by permanent or temporary transfer, of all or a qualitatively or quantitatively substantial part of the Magazine or its editorial content onto another medium, by any means and in any form whatsoever;
- The reuse, by making available to the public, of all or a qualitatively or quantitatively substantial part of the Magazine or its editorial content, in any form whatsoever;
- The reproduction, extraction or reuse, by any means, including methods comparable to scraping, of editorial content published by MR AND MRS MEDIA.
The User further undertakes not to create any confusion with MR AND MRS MEDIA when carrying out a competing activity.
No provision of these Terms may be interpreted as an assignment of intellectual property rights, whether tacitly or otherwise.
Acceptance of these Terms constitutes Users’ acknowledgement of MR AND MRS MEDIA’s intellectual property rights and their undertaking to respect them.
MR AND MRS MEDIA grants Users a personal, non-exclusive and non-transferable licence authorizing them to consult the Magazine and the information it contains, in accordance with these Terms.
Any other exploitation of the Magazine and its editorial content is excluded from the scope of this licence and may not be carried out without the prior express authorization of MR AND MRS MEDIA.
It is specified that the Advertising Content of Advertisers appearing in the Magazine remains the exclusive intellectual property of those Advertisers and is subject to their own intellectual property rights.
In connection with the distribution of the Magazine, MR AND MRS MEDIA may collect and process personal data concerning Users, including their WhatsApp telephone number.
This data is necessary for managing receipt of the Magazine and the relationship with Users. It may be communicated to MR AND MRS MEDIA’s service providers involved in distributing the Magazine. This data will be kept confidential by MR AND MRS MEDIA for the purposes of distributing the Magazine and in compliance with the law, for a period of three (3) years from your unsubscription or from your last contact with MR AND MRS MEDIA.
In this respect, the User is invited to consult MR AND MRS MEDIA’s Privacy Policy accessible in the Magazine, which provides all information relating to the protection of personal data and the processing carried out via the Platform.
In accordance with French Law No. 78-17 of 6 January 1978 on information technology, data files and civil liberties, as amended, and Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, repealing Directive 95/46/EC (General Data Protection Regulation, or GDPR), MR AND MRS MEDIA ensures the implementation of the rights of data subjects.
It is recalled that any User whose personal data is processed benefits from the rights of access, rectification, updating, portability and erasure of information concerning them, as well as a right to restriction of processing in accordance with Articles 49, 50, 51, 53 and 55 of the amended French Data Protection Act and Articles 15, 16, 17, 18 and 20 of the GDPR.
In accordance with Article 56 of the French Data Protection Act and Article 21 of the GDPR, the Client may also, on legitimate grounds, object to the processing of data concerning them, without reason and free of charge.
The User may exercise these rights by sending an email to: contact@mrandmrsmedia.com.
Finally, the User may also lodge a complaint with supervisory authorities, in particular the CNIL (https://www.cnil.fr/fr/plaintes).
The Parties agree to consider electronic messages and communications exchanged between them, including via WhatsApp or email, as written evidence within the meaning of Articles 1366 and 1367 of the French Civil Code, that is, as having the same evidential value as an original written document.

If any provision of these Terms is declared null and void under an applicable legislative or regulatory provision and/or a court decision having the force of res judicata, it will be deemed unwritten but will not affect the validity of the other clauses, which will remain fully applicable.
Such modification or decision does not under any circumstances authorize Users to disregard these Terms.
These Terms apply to every User receiving the Magazine.
The Terms may be amended and updated by MR AND MRS MEDIA at any time, in particular to adapt to legislative or regulatory changes or changes to the Magazine.
In the event of a substantial amendment, MR AND MRS MEDIA undertakes to inform Users by any appropriate means, including via WhatsApp, before the amendments enter into force.
The applicable Terms are those in force on the date on which the User receives the Magazine.
The fact that either Party has not required the application of any clause of these Terms, whether permanently or temporarily, may under no circumstances be considered a waiver of that clause.
In the event of difficulty interpreting any of the headings appearing at the beginning of the clauses of these Terms and any of the clauses themselves, the headings will be deemed non-existent.
These Terms are drafted in French. In the event of translation into another language, only the French version shall prevail.
These Terms are governed by French law. Any difficulties relating to their validity, application or interpretation will be submitted to the competent courts under ordinary law.
However, before any legal action, the User is invited to contact MR AND MRS MEDIA through customer service at the address indicated in Article 11 in order to try to resolve the dispute amicably.
If no agreement is reached, or if the User proves that they previously attempted to resolve the dispute directly with MR AND MRS MEDIA by means of a written complaint, an optional mediation procedure will then be proposed, conducted in a spirit of loyalty and good faith with a view to reaching an amicable agreement.

The Party wishing to initiate the mediation process must first inform the other Party by registered letter with acknowledgement of receipt, indicating the elements of the dispute.
As mediation is not mandatory, the Client or the Seller may withdraw from the process at any time.
If mediation fails or is not considered, the dispute that may have given rise to mediation will be referred to the competent court designated above.
